These Terms of Service establish the operational framework and legal boundaries for enterprises deploying OTUELA AI’s proprietary machine learning models and bespoke infrastructure.
By integrating, accessing, or deploying OTUELA AI's models or infrastructure, your organization agrees to be bound by these Terms of Service, in addition to any bespoke Master Service Agreement (MSA) and Non-Disclosure Agreement (NDA) executed between our entities.
Your organization retains 100% ownership and sovereignty over your proprietary data, inputs, and generated outputs. OTUELA AI retains exclusive ownership of the underlying machine learning algorithms, model architectures, codebase, and proprietary cloud infrastructure used to process your data.
Our bespoke LLMs are licensed strictly for your internal corporate operations and designated commercial workflows. Reverse engineering, unauthorized reselling of API access, or utilizing our infrastructure to train competing artificial intelligence models is strictly prohibited and will result in immediate termination of services.
We guarantee a 99.99% uptime for fully deployed enterprise architectures, backed by our elite engineering team. Scheduled maintenance windows, infrastructure upgrades, or model fine-tuning periods are communicated to your designated technical liaisons at least 30 days in advance.
While our systems are engineered for uncompromising precision, AI models are inherently probabilistic. OTUELA AI provides these architectures "as is" within the parameters of your MSA. We are not liable for indirect, incidental, or consequential damages arising from the strategic business decisions made based on model outputs.
